  • 1. Introduction

    Independent Investment Bankers Corp is registered with the Securities and Exchange Commission as an Investment Adviser and as a Broker-Dealer. It is a member of FINRA and the Securities Investor Protection Corporation.

    Brokerage and investment advisory services and fees differ, and it is important for you to understand the differences. The SEC offers free and simple tools to research firms and financial professionals at Investor.gov/CRS which also provides information tailored to educate retail investors about financial professionals.

    What investment services and advice can you provide me?

    Our firm offers private placement investments and investment advisory services to investors.

    Our investment adviser firm offers non-discretionary services listed below, which means that you make the ultimate decision regarding the purchase of investments.

    • Investment Adviser Solicitor referral — our firm does not monitor your accounts. We select an asset manager with you.

    • Private Placement offerings — our firm does not monitor your accounts. Private Placement securities are recommended to qualified investors.

  • 3. Fees, Costs, Conflicts and Standard of Conduct

    What fees will I pay?

    Our advisory fees are disclosed in our Form ADV Part 2A. You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying. Some fees create a conflict of interest described below.

    We receive referral fees from Investment Advisers. We mitigate the conflict of interest by disclosing to you in advance, all fees charged by any advisor you select with our assistance. For more detailed information about our fees and costs please review our Form ADV, Part 2A brochure (specifically Items 5.A., B., C., and D.) which can be found at https://www.adviserinfo.sec.gov/IAPD/default.aspx.

    For Private Placement Securities, IIB representatives will be paid a commission on the amounts invested. ∙The commission rate is normally between 3 and 10% of the amount invested, with 5-7% of the gross amount invested being typical.     Conflicts and Mitigation

    When we refer you to an investment adviser, we are obligated as a fiduciary to put your interests ahead of ours. At the same time, our firm makes money by referring you to money managers that compensate us for the referral and therefore have an incentive to offer this service to you.

    Private Placements are sold on a commission basis, charged as a percentage of the amount invested. There is a financial incentive to recommend to you as large an investment as possible in a private placement we offer.
